Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and Math I Can Do Solutions Incorporated ("Math I Can Do Solutions," "we," "us," or "our") governing your access to and use of Math I Can Do, including our free web editor, our desktop application, and our Canvas integration delivered via LTI 1.3, together with our website and related services (collectively, the "Services").

By using the Services you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization (such as a school, district, or institution), you represent that you are authorized to bind that organization, and "you" includes that organization. Where a separate written agreement between us and an institution ("Institutional Agreement") applies, that agreement governs and controls over any conflicting term in these Terms for that institution and its users.

2. Definitions

"Free Web Editor"
The math editor made available on our website without an account or sign-up, consisting of a single persistent editor window and memory cells stored locally in your browser. Its content is always editable, its only output is printing, and it does not export files or create multiple documents for sharing.
"Document"
A file in our proprietary format created using a Subscription Service.
"Viewer" (or "free reader")
The free capability that allows anyone, without an account, to view, print, and share a Document. Viewing, printing, and sharing are free; creating or editing a Document, and exporting it to another format (such as PDF), require a Subscription.
"Desktop Application"
The downloadable/installable desktop version of the math editor, available on a subscription basis.
"Canvas Integration"
The LTI 1.3 tool that operates within a Canvas learning management system, available on a subscription basis.
"Subscription Service" and "Subscription"
The Desktop Application and the Canvas Integration, and the paid rights they provide, including the right to edit and export Documents.
"Institution"
A school, district, university, or other organization that licenses the Services for its users.
"User Content"
The mathematical expressions, documents, and other content you create or submit using the Services.

3. The Services

We offer free and paid capabilities:

In short: viewing, printing, and sharing a Document are free, but creating or editing a Document, and exporting it to another format such as PDF, require an active Subscription. Subscriber Documents are stored on our servers; if a Subscription lapses, you keep free-reader access to your Documents and only the paid capabilities pause until you renew (see Sections 6.3 and 6.4). We may add, modify, or remove features, and we do not warrant that any Document will display identically across every device, browser, or version (see Section 13). We are not responsible for the Canvas platform itself or any third-party learning management system.

4. Eligibility

You must be able to form a binding contract to use the paid Services. Students under the age of majority may use the Services only through and as authorized by their Institution. The Services are not directed to children outside an educational setting.

5. Accounts

The Free Web Editor requires no account. The Desktop Application and Canvas Integration may require a license, activation, or an account provisioned by you or your Institution. You are responsible for keeping any credentials confidential and for activity under your account, and you agree to provide accurate information and to notify us of any unauthorized use.

6. License to use the Services

6.1 Free Web Editor license

We grant you a limited, non-exclusive, revocable license to use the Free Web Editor for personal, educational, or internal business purposes, subject to these Terms. The Free Web Editor stores its content locally in your browser, outputs only by printing, and does not export files or create shareable Documents.

6.2 Viewer license

We grant you a limited, non-exclusive, revocable license to view, print, and share Documents in our proprietary format using the free reader, at no charge and without an account. This license does not include any right to create or edit a Document, or to export or convert a Document to another format (such as PDF), each of which requires an active Subscription. Where you share a Document, you are responsible for having the right to share its contents, and you understand that a shared Document is served from our storage and will stop being accessible if the underlying Document is deleted (see Section 6.4).

6.3 Subscription license (Desktop Application and Canvas Integration)

Subject to these Terms and payment of the applicable subscription fees, and for the duration of your Subscription term, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the applicable Subscription Service and to create, edit, and export Documents, for the number of users or devices covered by your Subscription. This is a license, not a sale; we retain all rights not expressly granted.

So that Documents can be viewed from anywhere and shared, we store your Documents on our servers while your Subscription is active. When a Subscription ends or lapses, your Documents stay with you: you keep full free-reader access — you can continue to view, print, and share them at no charge — and only the paid capabilities (creating and editing Documents, and exporting them to other formats such as PDF) pause until you renew. This applies during and, for Documents you download and retain, after the storage and deletion terms in Section 6.4.

6.4 Storage of Documents after a Subscription lapses

If your Subscription lapses or is cancelled, you keep free-reader access to your Documents: you can continue to view, print, and share them at no charge, and only the paid capabilities (creating, editing, and exporting to other formats) pause until you renew, as described in Section 6.3. We will continue to store your Documents on our servers for a grace period of 90 days, during which you may also sign in and download them in our native format so you keep your own copies. We will send you advance warnings — typically when your Subscription lapses, again at least 30 days before deletion, and a final reminder about 7 days before — reminding you to download anything you wish to keep. After the grace period, we will permanently delete your Documents from our servers, and deleted Documents cannot be recovered and any shared links served from our servers will stop working.

Your downloaded copies are yours to keep. Any Document you download in our proprietary format is yours to keep indefinitely: you can view it, print it, and share the file itself with anyone who has the free reader, at no charge, even after it is deleted from our servers and whether or not you have an active Subscription. Any Document you export to another format (such as PDF) while your Subscription is active is likewise yours to keep and use in that format indefinitely, without limitation. Exporting to other formats requires an active Subscription, so export anything you may want in those formats before your Subscription lapses.

This Section 6.4 applies to individual and direct Subscriptions; storage, return, and deletion of Documents and data held for an Institution are instead governed by the applicable Institutional Agreement.

6.5 Canvas Integration license

Where an Institution subscribes to the Canvas Integration, the license in Section 6.3 extends to the Institution and its authorized users for use within the Institution's Canvas environment for the Subscription term, for educational purposes.

6.6 Restrictions

You may not, and may not permit others to: (a) copy, modify, or create derivative works of the Services except as permitted; (b) reverse engineer, decompile, or disassemble any software except to the extent this restriction is prohibited by law; (c) rent, lease, sell, sublicense, or provide the Services to third parties except as expressly allowed; (d) circumvent licensing, activation, usage limits, or security measures, including any measure that restricts editing or exporting Documents to subscribers; (e) edit, export, convert, or extract the contents of a Document without an active Subscription, or use the Viewer or Free Web Editor to reproduce paid functionality; (f) use the Services to violate any law or third-party right; or (g) remove any proprietary notices.

7. Fees, purchases, and subscriptions

The Free Web Editor and viewing Documents through the Viewer are free and require no payment. The Subscription Services (Desktop Application and Canvas Integration) are sold on a subscription basis as described at the point of sale; the subscription is what unlocks creating, editing, and exporting Documents.

When you purchase through the Canvas marketplace, a reseller, or another platform, that platform's or reseller's purchasing, billing, and refund terms also apply. Unless required by law or stated otherwise, fees are non-refundable. Subscriptions renew and can be cancelled as described at purchase or in your Institutional Agreement. You are responsible for applicable taxes. We do not receive or store full payment card numbers; payments are processed by our payment provider(s).

8. Acceptable use

You agree not to use the Services to: upload or transmit unlawful, infringing, harmful, or malicious content or code; harass, abuse, or harm others; gain unauthorized access to any system or data; interfere with or disrupt the Services; misrepresent your identity or authority; or use the Services other than as permitted by these Terms and any applicable Institutional policies.

9. User Content

You retain ownership of your User Content. You grant us a limited license to host, process, transmit, and display User Content solely as necessary to provide and support the Services (for example, to render your work in the editor or to return it to Canvas). For the Canvas Integration, User Content that constitutes student or education-record data is handled as described in our Privacy Policy and any Institutional Agreement, under which the Institution controls that data. You are responsible for your User Content and represent that you have the rights necessary to use it with the Services.

10. Intellectual property

The Services, including all software, interfaces, content we provide, and trademarks, are owned by Math I Can Do Solutions Incorporated or our licensors and are protected by intellectual property laws. Except for the licenses expressly granted here, we grant you no rights in the Services. Feedback you send us may be used without restriction or obligation to you.

11. Third-party services

The Services interoperate with third-party platforms, including Canvas and the Canvas marketplace (EdCo / LearnPlatform). We are not responsible for third-party services, their availability, or their terms and privacy practices. Your use of those services is subject to their own agreements.

12. Privacy

Our collection and use of personal data is described in our Privacy Policy. For the Canvas Integration, the Institution is the controller of student and staff personal data and we act as its processor/service provider, including as a "school official" under FERPA where applicable.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that results (including mathematical output or grade passback) will be accurate or meet your requirements. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

14. Limitation of liability

To the maximum extent permitted by law, Math I Can Do Solutions Incorporated and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amounts you or your Institution paid us for the Services in the 12 months before the event giving rise to the claim, or (b) CAD $100. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Math I Can Do Solutions Incorporated from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your infringement of any third-party right.

16. Term and termination

These Terms apply while you use the Services. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if providing the Services becomes impractical, and we will give notice where reasonable or required. You may stop using the Services at any time. License rights end on termination; provisions that by their nature should survive (including Sections 9 through 15 and 17) survive. When a Subscription ends, your stored Documents are handled as described in Section 6.4. Termination of an Institutional Agreement is governed by that agreement, including provisions on return or deletion of data.

17. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, unless an applicable Institutional Agreement or mandatory local law provides otherwise.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date, and material changes will take effect on the date posted or as otherwise required. For Institutions, changes are governed by the applicable Institutional Agreement. Your continued use after changes take effect constitutes acceptance.

19. Miscellaneous

These Terms (with the Privacy Policy and any Institutional Agreement) are the entire agreement between you and us regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as expressly stated.
